Role overview
A leading international law firm with a prominent capital markets practice in the Kingdom is seeking a mid-level ECM lawyer to join their Riyadh office. With a strong pipeline of mandates across IPOs, equity offerings and public market transactions, the firm needs a technically excellent lawyer with hands-on Saudi ECM experience and established working relationships with the regulator.
Key responsibilities
- Work on equity capital markets transactions including IPOs, rights issues, secondary offerings and public M&A with an equity component
- Engage directly with the Capital Market Authority (CMA) on prospectus reviews, listing applications and regulatory approvals
- Draft and negotiate offering documentation, underwriting agreements and ancillary transaction documents
- Advise issuers and banks on Saudi securities law, CMA regulations and Tadawul listing requirements
- Manage deal execution across multiple workstreams, coordinating with local and international counsel
- Contribute to the development of junior team members and the wider growth of the practice in the Kingdom
Candidate profile
- Common law qualified with 5 to 8 years' PQE in equity capital markets
- Bringing strong ECM deal experience, ideally with direct involvement in Saudi IPOs or public offerings
- Experienced in working with the CMA and familiar with the Saudi regulatory approval process
- From a top-tier international law firm with a recognised capital markets offering
- Technically strong with excellent drafting skills and the ability to manage complex transactions with increasing autonomy
- Based in or willing to relocate to Riyadh
