Role overview
Our client is a major international law firm expanding its capital markets capability in Saudi Arabia. The firm is looking to hire a senior ECM lawyer to sit within its Riyadh office and take on a meaningful role advising issuers, underwriters and financial institutions on equity capital markets transactions across the Kingdom. Saudi Arabia's capital markets are in a period of sustained activity, driven by a significant pipeline of IPOs, follow-on offerings and dual listings as part of the broader economic diversification programme. The firm is well positioned to capitalise on this pipeline and is looking for a lawyer who can run transactions with a high degree of independence while contributing to the wider growth of the practice. This is a strong opportunity for a senior associate or counsel-level lawyer looking to step into a role with real visibility, direct client exposure and the chance to work on headline transactions in one of the region's most active capital markets.
Key responsibilities
- Advise on IPOs, secondary offerings, rights issues and other public equity transactions on Tadawul and related markets
- Act for issuers, underwriters and sponsors across the full transaction lifecycle, from structuring through to listing and post-completion obligations
- Draft and negotiate prospectuses, subscription agreements, underwriting agreements and related transaction documentation
- Advise on CMA regulatory requirements, Saudi Companies Law and relevant corporate governance frameworks
- Coordinate with local counsel, financial advisers and regulatory bodies
- Support on equity-linked and hybrid capital markets transactions where they arise
- Contribute to client development and cross-selling across the firm's broader Middle East practice
Candidate profile
- Approximately 8 to 12 years' PQE at senior associate or counsel level
- Strong ECM background from a recognised international law firm, with experience acting on IPOs and public offerings
- Experience of Saudi or wider GCC capital markets work is highly valued, though strong candidates from other jurisdictions with a willingness to relocate will be considered
- Familiarity with CMA regulations and Tadawul listing rules is beneficial but not essential
- Arabic language skills are an advantage
